Royal Charter & Byelaws

The Chartered Governance Institute (CGI) is incorporated in England & Wales and governed by a Royal Charter, granted by King Charles III. Royal Charters are awarded to prestigious professional bodies that work in the public interest. CGI’s Royal Charter was first granted in 1902 and most recently updated in April 2019. This Royal Charter bestows the designation of ‘chartered’ governance professionals to CGI members upon completion of our qualifications. Today, there are 28,000 Chartered Secretaries and Chartered Governance Professionals combined, serving in 68 different markets around the world.

The CGI Byelaws, most recently updated in 2023, accompany the Royal Charter and define the internal rules that govern CGI’s management and operations. This includes rules relating to membership, meetings, management, Council responsibilities, divisions, qualifications and administration. The Byelaws are supplemented by the CGI Global Governance Mandate which clarifies the organisation’s governance structure, the role of Council and its committees.
